Leadbrew – Terms of Service

These Terms of Service ("Terms") govern your access to and use of Leadbrew Inc. ("Leadbrew," "we," "us," or "our") services, websites, and subscription offerings. By purchasing or using our services, you agree to be bound by these Terms.
1. Services
Leadbrew provides month-to-month digital marketing services, including but not limited to:

Search Engine Optimization (SEO)

Google Business Profile optimization
-
Content creation
-
Technical website optimization
-
Reporting and analytics
All services are provided on a best-effort basis. Leadbrew does not guarantee rankings, traffic, leads, or revenue outcomes, as results depend on factors outside of our control (including search engine algorithms, competition, client responsiveness, and third-party platforms).
2. Subscription Billing & Payment Terms
2.1 Month-to-Month Subscription
All Leadbrew services are offered on a month-to-month, recurring subscription basis unless otherwise agreed to in writing.
2.2 Billing Cycle

Subscriptions are billed in advance at the start of each billing cycle.

By subscribing, you authorize Leadbrew to charge your selected payment method on a recurring basis until cancellation.
2.3 Responsibility for Charges
Once a billing cycle has begun, the associated charge is considered earned and applies to services scheduled, in progress, or completed during that billing period.
3. Cancellation Policy
3.1 How to Cancel
Clients may cancel their subscription by:

Emailing nic@leadbrew.net, or

Notifying Leadbrew via the shared WhatsApp group chat used for active client communication
3.2 Cancellation Notice Requirement

Cancellations must be submitted at least fifteen (15) days prior to the next billing date to avoid being charged for the upcoming billing cycle.

Cancellations submitted within fifteen (15) days of the next billing date will take effect at the end of the next billing cycle, and the upcoming charge will still apply.
3.3 No Retroactive Cancellations
Leadbrew does not provide retroactive cancellations or credits for billing periods that have already begun.
4. Refund Policy
4.1 No Refunds for Services Rendered
Due to the nature of digital marketing services, all payments are non-refundable once a billing cycle has started.
This includes, but is not limited to:

Strategy development
-
Keyword research
-
Content planning or creation
-
SEO implementation
-
Google Business Profile optimization
-
Reporting and analysis
4.2 Dissatisfaction or Partial Use
Client dissatisfaction, partial use of services, or perceived lack of results does not qualify for a refund once work has commenced for the billing period.
4.3 Chargebacks & Payment Disputes
By agreeing to these Terms, Client acknowledges that:

Filing a chargeback for services already rendered constitutes a breach of these Terms

Client agrees to contact Leadbrew first to attempt resolution prior to initiating a chargeback or dispute with a payment provider
Leadbrew reserves the right to immediately suspend or terminate services in the event of a chargeback or payment dispute.
5. Stripe Terms of Service
Client agrees to be bound by the Stripe Terms of Service, located at: https://stripe.com/ssa.
Client acknowledges that the Stripe Terms of Service may be modified periodically by Stripe in its sole discretion and that continued use of Leadbrew services constitutes acceptance of those modifications.
6. Payment Processing & PCI Compliance
6.1 Third-Party Payment Processing
All payment transactions are processed through a third-party payment processor that is Level 1 PCI DSS compliant. Leadbrew does not store, process, or retain payment card information.
6.2 No PCI DSS Liability
Client understands, acknowledges, and agrees that because Leadbrew does not store payment card information, Leadbrew is not subject to PCI DSS compliance requirements and shall be released from any and all liability or claims related to or arising out of PCI DSS.
7. Payment Fees, Refunds, and Client Liability
7.1 No Refund of Payment Fees
Payment processing fees are non-refundable, including in cases of refunds, chargebacks, or transaction reversals.
7.2 Client Liability for Refunds
If a refund, chargeback, or reversal occurs:

The refunded amount (if any) is issued directly to the Client’s customer

Client remains liable for all associated payment processing fees

Leadbrew reserves the right to deduct such fees from Client’s payment account
If sufficient funds are not available, Client authorizes Leadbrew to debit Client’s linked bank account to cover any outstanding balance or fees.
7.3 Indemnification
Client agrees to indemnify and hold harmless Leadbrew against any claims, losses, or damages arising out of disputes, chargebacks, or refund claims initiated by Client or Client’s customers.
8. Right to Suspend, Terminate, or Adjust Pricing
Leadbrew reserves the right, in its sole discretion, to:

Suspend or terminate access to services if Client poses an increased financial, operational, or reputational risk

Modify pricing or fees upon written notice to Client (email notice sufficient)
9. Disputes & Evidence
For disputed transactions, including allegedly fraudulent transactions:

Client is solely responsible for providing supporting evidence through the tools made available by the payment processor

Leadbrew is not responsible for submitting evidence on Client’s behalf
-
Leadbrew shall not be liable for any losses arising from unsuccessful dispute resolutions
10. Client Responsibilities
Client agrees to:

Provide timely access to required platforms (website, hosting, Google Business Profile, analytics, etc.)
-
Respond promptly to requests for approvals, assets, or information
-
Ensure all information provided is accurate and lawful
Service delays caused by lack of access or responsiveness do not constitute grounds for refunds or chargebacks.
11. Limitation of Liability
To the fullest extent permitted by law:

Leadbrew shall not be liable for indirect, incidental, or consequential damages

Leadbrew’s total liability shall not exceed the amount paid by Client to Leadbrew in the preceding thirty (30) days
12. Governing Law
These Terms are governed by and construed in accordance with the laws of Ontario, Canada, without regard to conflict of law principles.
13. Acceptance of Terms
By completing checkout, selecting an acceptance checkbox, or using Leadbrew services, Client confirms that they have read, understood, and agreed to these Terms, including all billing, cancellation, and refund policies.
